This Terms of Service agreement ("Agreement") is between LLMLayer Company LLC, 30 N Gould St STE R, Sheridan, WY 82801 ("LLMLayer," "Company," "we," "us," or "our") and you, the person or entity using our services ("you" or "your").
Consent Required
YOU MUST CONSENT TO THIS AGREEMENT TO USE OUR SERVICES. If you do not accept and agree to be bound by all terms of this Agreement, including our Privacy Policy at llmlayer.ai/privacy, you cannot use our Services.
1Description of Services
LLMLayer provides API infrastructure for AI agents, including:
Web Search API
Search across multiple content types (general, news, scholar, images, videos, shopping)
Scraper API
Extract website content in multiple formats (markdown, HTML, PDF, screenshots)
Extract API
Turn any page into schema-typed JSON, summaries, links, or brand data
Answer API
Generate AI-powered responses using language models from third-party providers (OpenAI)
2Data Privacy and Usage
2.1 No Data Storage Policy
LLMLayer does not store, retain, or log the content of your API requests or responses beyond the time necessary to process and deliver them. We do not maintain databases of:
- Search queries you submit
- Website content you scrape
- Documents you process
- AI-generated responses
2.2 No Training on User Data
We do not use any data from your API requests to train, improve, or develop machine learning models, language models, or any other AI systems. Your data is never used for our internal development or sold to third parties.
2.3 Operational Data
We retain only minimal operational metadata for billing and abuse prevention:
- API key authentication records
- Request counts and timestamps
- Billing information
- Error logs (without content)
2.4 Third-Party Model Providers
When using the Answer API, your requests are processed by third-party LLM providers (OpenAI). Each provider has their own data policies. We recommend reviewing each provider's data usage policies.
3Accessing the Services
3.1 Service Availability
The Services are provided on an "as available" basis. We may experience downtime, interruptions, or service degradation. We reserve the right to modify or discontinue the Services at any time.
3.2 Account Authentication
You can create an account using Google or GitHub OAuth through Firebase. You are responsible for:
- Maintaining the security of your Google or GitHub account
- All activity that occurs through your authenticated account
- Immediately notifying us of any unauthorized access
3.3 API Keys
You are responsible for:
- Keeping your API keys confidential and secure
- Not sharing API keys with unauthorized parties
- Immediately notifying us of any unauthorized use at support@llmlayer.ai
- All activity that occurs under your API keys
3.4 Model Access
All model provider integrations are managed by LLMLayer. You access all supported models through your single LLMLayer API key — no external provider keys required.
3.5 API Changes
We may modify, deprecate, or change API endpoints, parameters, or responses. We will attempt to provide reasonable notice for breaking changes when possible.
4Your Use of the Services
4.1 Eligibility
By using the Services, you represent that you are at least 18 years old, have authority to enter this Agreement, and are not prohibited from using the Services by law.
4.2 Account Information
You represent that all information you provide is accurate, complete, and truthful. You must maintain the accuracy of your account information.
4.3 Prohibited Activities
You agree NOT to use the Services to:
General Prohibitions
- Violate any applicable laws, regulations, or third-party rights
- Engage in illegal activities or promote illegal content
- Scrape websites that explicitly prohibit automated access in their terms or robots.txt
- Circumvent rate limits or abuse the API infrastructure
- Share, resell, or redistribute API access without written authorization
- Reverse engineer, decompile, or extract source code from the Services
Harmful Use Cases
- Promote violence, discrimination, or hatred
- Harass, stalk, threaten, or harm others
- Create or distribute malware, viruses, or malicious code
- Collect personal information without proper consent
- Impersonate others or misrepresent your identity
Regulated Activities
- Make decisions about credit, employment, insurance, or benefits eligibility
- Conduct background checks subject to FCRA
- Support mass surveillance without proper authorization
- Use for law enforcement without proper legal authority
Data Privacy Violations
- Violate GDPR, CCPA, or other data protection regulations
- Process personal data without proper legal basis
- Scrape content in violation of website terms of service
Intellectual Property & System Abuse
- Infringe on IP rights
- Bypass paywalls or access control systems
- Send excessive requests that degrade service performance
- Attempt unauthorized access to systems or data
- Security testing without permission
- Use the Services to build competing products
5Payments and Billing
5.1 Payment Processing
We use Stripe to process payments. Disputes must be resolved between you and Stripe.
5.2 Pricing
Current pricing: llmlayer.ai/pricing. Prices may change with 30 days notice.

5.3 Model Token Costs

5.4 Billing
- Billed based on actual usage
- Processed per your payment method
- All fees in USD unless stated
- We may apply limits or require prepayment
5.5 Taxes
Fees exclude taxes. You're responsible for applicable taxes (except those on our net income).
5.6 No Refunds
All charges are final and non-refundable except billing errors or if we permanently discontinue the Services (prorated unused credits).
5.7 Payment Failure
Non-payment may result in immediate suspension or termination.
6Usage Limits and Fair Use
6.1 Rate Limits
We implement rate limits to ensure quality. See docs.llmlayer.ai for current limits.
6.2 Fair Use
You agree to reasonable, good-faith usage. We may limit abusive or excessive patterns.
7Intellectual Property
7.1 Our Intellectual Property
The Services, including software, APIs, docs, and marks, are owned by LLMLayer. You receive a limited, non-exclusive, non-transferable license to use the Services.
7.2 Your Content
You retain ownership of data you submit. You grant us a limited license to process your data solely to provide the Services; this ends when processing completes.
7.3 Scraped Content
Scraped content is subject to original owners' rights. Ensure compliance with copyright and site terms.
7.4 Feedback
Feedback may be used by us without restriction or compensation.
8Disclaimers and Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
8.1 Third-Party Content
We do not verify or guarantee the accuracy, legality, or quality of search results, scraped content, document extracts, or AI-generated responses.
8.2 Third-Party Services
We are not responsible for third-party providers' availability, accuracy, or data practices.
8.3 No Professional Advice
Information is not legal, financial, medical, or professional advice. Consult qualified professionals.
9Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF (A) AMOUNTS PAID IN THE PRIOR THREE MONTHS OR (B) $100 USD.
9.1 Excluded Damages
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, data, or opportunities
- Service interruptions or third-party actions
9.2 Basis of the Bargain
These limitations apply regardless of theory and are fundamental to this Agreement.
10Indemnification
You agree to defend, indemnify, and hold LLMLayer harmless from claims arising from your use, violations, or content.
11Termination
You may terminate by ceasing use and deleting keys; contact support to close your account. We may suspend/terminate for violation, abuse, non-payment, or at our discretion.
12General Provisions
Governing law: Wyoming. Venue: Sheridan County. Class actions waived. Changes may occur with notice for material updates. Other standard provisions apply.
